These Terms of Service (“Terms”) govern your access to and use of acehealthclinic.com (the “Site”) and the related online services, features, and communications offered by Ace Health and Wellness Center (“Ace Health,” “we,” “us,” or “our”). By accessing or using the Site, submitting a form, requesting an appointment, using the Patient Portal link, or otherwise interacting with our online services, you agree to these Terms.

If you do not agree to these Terms, do not use the Site. These Terms are intended for general informational and operational purposes and do not create a patient-provider relationship by themselves.

1) Who We Are

Ace Health and Wellness Center (ACE Health and Wellness Center PLLC) provides primary care and related clinical services, including (as applicable) telehealth, Remote Patient Monitoring (RPM), and Chronic Care Management (CCM).

2) Important Medical Disclaimers

No Emergency Use

The Site and any messaging channels are not intended for medical emergencies. If you have an emergency, call 911 or go to the nearest emergency room.

No Medical Advice Through the Website

Content on the Site is provided for general informational purposes and is not a substitute for professional medical advice, diagnosis, or treatment. Do not disregard medical advice or delay seeking care because of information you read on the Site.

No PHI Through General Web Forms

Contact and appointment request forms are intended for general information only. Please do not submit sensitive medical information or protected health information (PHI) through general website forms.

3) Appointments, Forms, and Patient Portal

Appointment requests submitted through the Site are requests only and are not confirmed until our team contacts you and confirms scheduling. We may contact you by phone, email, or text message (if you have opted in) to coordinate scheduling and care-related logistics.

The Site may offer access to online forms and a Patient Portal link. Any Patient Portal services are provided through a third-party portal provider. Your use of the Patient Portal is subject to the portal provider’s terms and privacy practices in addition to these Terms.

4) Telehealth Terms

If telehealth services are offered, you understand that telehealth involves the use of electronic communications to enable clinicians to provide care at a distance. Telehealth services may not be appropriate for all conditions and may be limited by technology, connectivity, or clinical judgment.

Telehealth visits are not recorded by us unless explicitly disclosed to you in advance and permitted by law. You agree not to record telehealth sessions without the clinician’s express consent, where prohibited by law.

5) RPM and CCM Services

RPM and CCM services, when applicable, involve ongoing care management and monitoring support. As part of these programs, you may be asked to use connected devices, submit readings, or respond to care-team outreach. Participation may require separate patient consents and acknowledgements.

RPM and CCM services may be supported by our vendor, AZHealth24 LLC, which provides operational and technology support (including communications enablement) under appropriate contractual controls.

6) Payments, Insurance, and Billing

If you receive clinical services, you may be responsible for copays, deductibles, coinsurance, non-covered services, and other out-of-pocket amounts as determined by your insurer and applicable law. Eligibility, coverage, and prior authorizations are determined by your health plan. Estimates, if provided, are not guarantees of coverage.

RPM and CCM services may be billable to insurance (including Medicare, Medicaid, or commercial plans) where clinically appropriate and permitted. Separate consent and program enrollment terms may apply.

7) Communications Consent and Preferences

By providing contact information, you authorize us to contact you regarding appointments, administrative notices, care coordination, and related service communications. You can request updates to your contact preferences by calling us.

8) Mobile Messaging (SMS) Terms — RPM/CCM Program

This section applies if you opt in to receive text messages from us related to RPM/CCM services and administrative communications.

8.1 Program Name and Description

Program Name: Ace Health RPM & CCM Messaging Program. By opting in, you agree to receive text messages related to Remote Patient Monitoring (RPM) and Chronic Care Management (CCM), including care coordination, reminders, follow-ups, educational messages, and administrative notices.

Messages may be delivered using the AZHealth24 platform and its service providers to support reliable delivery and program administration.

8.2 Message Frequency

Message frequency varies based on your care plan, monitoring status, and support needs.

8.3 Cost / Fees

Ace Health and Wellness Center does not charge you for this text messaging program. However, message and data rates may apply depending on your mobile plan and carrier. Please contact your wireless provider if you have questions about your plan.

8.4 Opt-Out (STOP) — Required

To cancel at any time, text STOP to our sending number/short code.

After you send “STOP,” you will receive a confirmation message and will no longer receive SMS messages from this program unless you opt in again.

9) Acceptable Use of the Site

You agree not to misuse the Site. This includes attempting to access non-public systems, introducing malware, interfering with Site operations, scraping content at scale, or using the Site in a manner that violates applicable laws or regulations.

12) Disclaimer of Warranties

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Site will be uninterrupted, error-free, or secure.

13) Limitation of Liability

To the fullest extent permitted by law, Ace Health will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Site or communications channels. In no event will our total liability exceed the amount you paid to us (if any) for access to the Site during the six (6) months preceding the event giving rise to the claim.

14) Indemnification

You agree to defend, indemnify, and hold harmless Ace Health and its officers, directors, employees, contractors, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or misuse of the Site.

16) Governing Law and Venue

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Site will be brought in the state or federal courts located in Maricopa County, Arizona, unless otherwise required by law.
